Terms of service

1. Identity

These Terms of Service ("Terms") govern access to and use of the Kairos platform provided by MUR Data Solutions S.L. trading as Kairos, incorporated in Spain ("Kairos", "we", "us").

2. Acceptance

By registering an account or otherwise accessing the Service, you ("Client") agree to these Terms. If accepting on behalf of an organisation, you confirm you have authority to bind that organisation. If you do not accept, do not use the Service.

3. Service Description

Kairos is an AI-powered hospitality intelligence platform for restaurant groups. The Service provides proactive AI agents, operational analytics, reputation monitoring, staff performance insights, inventory analysis, and automated reporting. Features available depend on the subscription plan in effect.

4. User Obligations

  • Use the Service only for lawful purposes and in compliance with applicable law
  • Not reverse-engineer, decompile, or attempt to extract source code from the Service
  • Not resell, sublicense, or redistribute access without written consent
  • Not use automated means to scrape or extract data from the Service
  • Provide accurate, complete information when registering and keep it current
  • Not upload content that infringes third-party intellectual property rights
  • Not process data in violation of applicable privacy laws

5. Account Terms

Accounts require a valid email address and are limited to individuals aged 18 or over. Client is responsible for maintaining the security of account credentials and for all activity under the account. Notify Kairos immediately of any suspected unauthorised access at patricio@kairos.rest.

6. Subscription Terms

Subscriptions are billed on the cycle in the applicable Order Form (monthly or annual). Subscriptions auto-renew unless Client provides written cancellation notice at least 30 days before renewal. Cancellation takes effect at the end of the current billing period.

7. Pricing

Current pricing is published at /pricing. Kairos may change pricing with 30 days' notice. Price changes take effect at the next renewal. Payment is by wire transfer per the invoice issued by Kairos until Stripe is activated.

8. Refunds

For annual prepaid subscriptions, Client may request a pro-rated refund if cancellation is requested within 14 days of payment. No refund is issued after 14 days. Monthly subscriptions are non-refundable.

9. Service Level

Kairos targets 99.5% monthly uptime on a best-effort basis. No penalty applies for downtime during the MVP period. Planned maintenance communicated with at least 24 hours' notice where feasible. A formal SLA with penalty schedule will be agreed post first contract anniversary.

10. Intellectual Property Rights

Kairos IP: All software, AI agents, models, dashboards, and documentation are owned by MUR Solutions S.L. or its licensors. These Terms grant a limited, non-exclusive, non-transferable licence to access and use the Service during the subscription term.

Client data: Client retains full ownership of all data uploaded to the Service. Client grants Kairos a limited licence to process such data solely to provide the Service per the Privacy Policy.

Aggregated data: Client grants Kairos the right to use anonymised and aggregated data (from which Client cannot be identified) for product improvement, benchmarking, and research.

11. Confidentiality

Each party agrees to keep confidential any non-public information disclosed by the other that is designated as confidential or that reasonably should be understood to be confidential. Each party will use Confidential Information only to fulfil its obligations under these Terms. Obligations do not apply to information that is publicly available, already known to the receiving party, or required to be disclosed by law.

12. Limitation of Liability

Kairos's total aggregate liability to Client for any claim arising out of or related to these Terms or the Service is limited to the total fees paid by Client in the 12 months immediately preceding the event giving rise to the claim.

This limitation does not apply to: (a) gross negligence or wilful misconduct by Kairos; (b) death or personal injury caused by Kairos's negligence; (c) infringement of Client's intellectual property rights; or (d) liability that cannot be excluded under applicable law.

In no event will Kairos be liable for indirect, incidental, special, or consequential damages, including lost profits or data.

13. Indemnification

Client will indemnify, defend, and hold harmless Kairos and its officers, directors, and employees from and against any third-party claims, damages, or expenses (including reasonable legal fees) arising from: (a) Client's use of the Service in violation of these Terms; (b) Client's data or content uploaded to the Service; or (c) Client's violation of applicable law.

14. Termination

By Client: at any time with 30 days' written notice to patricio@kairos.rest. Effective at end of current billing period.

By Kairos for breach: Kairos may suspend or terminate access if Client breaches these Terms and fails to cure within 14 days of written notice. Immediate termination for: non-payment beyond 30 days; illegal use; or conduct posing a security risk.

Effect: Upon termination, Client's licence ceases. Sections 10–13 and 15–20 survive termination.

15. Data on Termination

Upon termination, Kairos will make Client's data available for export in standard format (CSV or JSON) for 30 days. After this period, Client data will be permanently deleted within 90 days, except where retention is required by law.

16. Governing Law and Jurisdiction

These Terms are governed by the laws of Spain. Disputes shall be submitted to the exclusive jurisdiction of the courts of Madrid, Spain.

17. Force Majeure

Neither party is liable for failure or delay in performing obligations (other than payment) where caused by circumstances beyond that party's reasonable control, including natural disasters, acts of government, internet outages, or third-party infrastructure failures. The affected party must notify the other promptly and use reasonable efforts to mitigate the impact.

18. Modifications to These Terms

Kairos may update these Terms at any time. Material changes communicated by email at least 30 days before taking effect. Continued use after the effective date constitutes acceptance.

19. Entire Agreement

These Terms, together with any applicable Order Form, DPA, and the Privacy Policy, constitute the entire agreement between the parties regarding the Service. In case of conflict, the Order Form takes precedence, then the DPA, then these Terms.

20. Severability

If any provision is found invalid or unenforceable, that provision will be modified to the minimum extent necessary to make it enforceable, or severed if modification is not possible, without affecting the remaining provisions.
