Pilot Agreement

This Pilot Agreement ("Agreement") is entered into between:

• MUR Data Solutions S.L. trading as Kairos (CIF B19837715), Torrent de l'Olla 121, 1º 2ª, CP 08012 Barcelona, España ("Kairos").
• The entity identified in the countersigned cover sheet ("Pilot Client").

Kairos grants Pilot Client a non-exclusive, non-transferable right to access and use the Kairos platform ("Service") during the Pilot Term, across the venues listed in the countersigned cover sheet ("Pilot Venues").

The pilot includes full platform access: AI operational analytics, reputation monitoring, staff performance insights, automated reporting, and proactive AI agent alerts.

The Pilot Term is 90 days from the onboarding completion date confirmed by Kairos in writing (email sufficient).

Either party may terminate the pilot with 14 days' written notice at any time during the Pilot Term.

The pilot is provided at a reduced fee of €125 per Pilot Venue per month (50% of the standard Growth plan). Payment due within 30 days of invoice. No refund if the pilot is terminated after the first 14 days.

If Pilot Client converts to a full subscription within 30 days of Pilot Term expiry, the pilot fees paid will be credited in full against the first year's subscription.

At or before the end of the Pilot Term, Kairos will send a conversion proposal. If Pilot Client wishes to continue, both parties execute a full Order Form referencing the Master Services Agreement. If no Order Form is executed within 30 days of Pilot Term expiry, access terminates automatically.

Kairos will assign a dedicated onboarding contact for the duration of the pilot. Onboarding includes: data source connection, initial configuration, and a kick-off call within 5 business days of agreement signature.

Support during the pilot: email patricio@kairos.rest, response within 1 business day.

Both parties will agree on 2–3 measurable outcomes (e.g., reduction in food cost variance, improvement in review response rate, staff scheduling hours saved) at the kick-off call. Progress reviewed at mid-point (day 45) and end of pilot. Kairos will provide a Pilot Results Report within 5 business days of Pilot Term end.

Client Data ownership, data protection, and confidentiality terms are governed by the MSA Sections 7–9 and the DPA, which are incorporated by reference into this Agreement.

Kairos's total aggregate liability during the Pilot Term is limited to the total fees paid by Pilot Client under this Agreement. In no event will Kairos be liable for indirect, incidental, or consequential damages.

This Agreement is governed by the laws of Spain. Disputes submitted to the courts of Madrid, Spain.
